Vist 64-bit driver install problems

Hello.   
Having some serious problems with the driver for Vista 64-bit. 
When I try to install 1.01 driver, I get a time-out message.  However, the device properties DOES show a driver installed after this.  Unfortunately, under these circumstances Vista hangs during shutdown.  I have isolated the shutdown problem to this driver. 
Anyone have any advice?

As advised by tech support--I disable my antivirus and tried again (for the 5th or 6th time). 
Same results. 

Anyone have any ideas?
